These Terms & Conditions ("Terms") govern your access to and use of the website and asset management service (the "Service") provided by Asidara ("Asidara", "we", "us", "our"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who you are contracting with
You are entering into these Terms with Asidara. If you are using the Service on behalf of an organisation, you confirm that you have authority to bind that organisation, and "you" refers to both you and that organisation. If you are using the Service as an individual, you confirm that you are of legal age to form a binding contract in your jurisdiction.
2. The Service
The Service is a web-based platform for cataloguing assets, assigning them to employees, scheduling maintenance, and monitoring warranties. Features may evolve over time. We may add, modify, or remove features in our reasonable discretion.
3. Accounts
- You must provide accurate and complete information when you create your account and keep it up to date.
- You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
- Notify us promptly of any unauthorised use of your account or any other suspected security breach.
4. Acceptable use
You must not misuse the Service. Without limiting the foregoing, you must not:
- Use the Service for any unlawful, fraudulent, deceptive, or harmful purpose.
- Send spam, phishing, or other unsolicited messages.
- Infringe any third party's intellectual property, privacy, or other rights.
- Upload or transmit any malware, viruses, or other harmful code.
- Probe, scan, or test the vulnerability of the Service; attempt to break security or authentication; or scrape or harvest data in violation of these Terms.
- Interfere with or disrupt the Service or the servers and networks that host it.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent expressly permitted by law.
- Resell, sublicense, or redistribute the Service, or circumvent any usage limits or technical restrictions.
5. Licence
Subject to your compliance with these Terms and payment of applicable fees, Asidara grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes within the plan you have selected.
6. Intellectual property
Asidara and its licensors retain all right, title, and interest in and to the Service, including all related software, documentation, branding, and intellectual property rights. No rights are granted to you except as expressly set out in these Terms.
7. Your content
You retain all rights in the data and content you submit to the Service ("Your Content"). You grant Asidara a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, display, and create technical copies of Your Content solely to provide, secure, and improve the Service. You are responsible for Your Content and for ensuring you have the rights to submit it.
8. Plans, payment, and subscription terms
Paid plans are billed in advance on a recurring basis (monthly or annually) at the price shown at checkout. Subscriptions automatically renew at the end of each billing period unless cancelled beforehand. Fees are exclusive of taxes unless stated otherwise. You can manage or cancel your subscription from your account.
Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, invoicing, cancellation, and refund mechanics are governed by Paddle's Buyer Terms, available at paddle.com/legal/checkout-buyer-terms.
9. Refunds
Refunds are handled in accordance with our Refund Policy and Paddle's Refund Policy.
10. Service level and availability
We work to keep the Service available and performant, but we do not guarantee that it will be uninterrupted, error-free, or completely secure. We may perform maintenance, change, suspend, or discontinue parts of the Service from time to time.
11. Suspension and termination
- You may stop using and cancel the Service at any time from your account.
- We may suspend or terminate your access (in whole or in part) if you materially breach these Terms, fail to pay fees when due, pose a security or fraud risk, or repeatedly or seriously violate our policies. Where reasonable, we will give you prior notice and an opportunity to cure.
- On termination, your right to use the Service ends. We will make Your Content available for export for a reasonable period (typically 30 days) before deletion, except where prohibited by law.
12. Warranties and disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, Asidara disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
13. Limitation of liability
To the maximum extent permitted by law, Asidara will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to the Service or these Terms. Our aggregate liability arising out of or related to these Terms will not exceed the fees you paid to Asidara for the Service in the twelve (12) months preceding the event giving rise to liability. Nothing in these Terms limits or excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be limited or excluded by law.
14. Indemnification
You will defend, indemnify, and hold harmless Asidara and its officers, employees, and agents from any third-party claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service in breach of these Terms, or your violation of any law or third-party right.
15. Force majeure
Neither party will be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, network or power outages, or third-party service failures.
16. Changes to the Service or these Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email and will take effect on the date stated in the notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
17. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of all or substantially all of our assets.
18. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Asidara is established, without regard to its conflict-of-law rules. The courts of that jurisdiction will have exclusive jurisdiction over any disputes, except where mandatory consumer-protection laws give you the right to bring proceedings in your country of residence.
